• Make timely payments as agreed

4. Payment Terms

4.1 Fees

Service fees will be outlined in your proposal or contract. We reserve the right to modify pricing with 30 days notice.

4.2 Payment Schedule

Payments are due as specified in your agreement. Late payments may incur interest at 1.5% per month.

4.3 Refunds

Due to the custom nature of our services, refunds are generally not provided except as required by law.

5. Intellectual Property

5.1 Client Materials

You retain ownership of all materials you provide to us.

5.2 Our Deliverables

We retain ownership of our proprietary tools and methodologies. Final deliverables become your property upon full payment.

5.3 Third-Party Content

You are responsible for ensuring proper licensing of any third-party content used in projects.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received during our engagement.

7. Google Ads Specific Terms

7.1 Account Access

For Google Ads management, you grant us necessary access to your advertising accounts.

7.2 Budget Responsibility

You are solely responsible for your advertising budgets and media costs.

7.3 Performance

While we optimize campaigns, we cannot guarantee specific results due to factors beyond our control.

7.4 Compliance

You agree to comply with all Google Ads policies and guidelines.

8. Website Development Terms

8.1 Content Provision

You are responsible for providing all website content in a timely manner.

8.2 Browser Compatibility

We ensure compatibility with current versions of major browsers but cannot guarantee functionality on outdated versions.

8.3 Hosting

Unless included in our services, you are responsible for website hosting.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• You must pay for all services rendered
• We will provide all completed work
• We will remove our access to your accounts

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from our services.

11. Indemnification

You agree to indemnify us against any claims arising from your use of our services or violation of these Terms.

12. Dispute Resolution

Any disputes shall first attempt resolution through good faith negotiations. If unresolved, disputes shall be settled in Vadodara, Gujarat courts.

13. Modifications

We reserve the right to modify these Terms at any time. Continued use of services constitutes acceptance of modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.
